Anjix Healthcare will have the right to participate in any defense by you of a third-party claim related to your use of any of the Website content or Products, with counsel of Anjix Healthcare choice at its expense. Anjix Healthcare will reasonably cooperate in any defense by you of a third-party claim at your request and expense. You will have sole responsibility to defend Anjix Healthcare against any claim, but you must receive Anjix Healthcare prior written consent regarding any related settlement. The terms of this provision will survive any termination or cancellation of this Agreement or your use of the Website or Products.

AGREEMENT TO BE BOUND

 Anjix Healthcare will not be deemed in default hereunder or held responsible for any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout, or boycott.

Cessation of Operation: Anjix Healthcare may at any time, in its sole discretion and without advance notice to you, cease operation of the Website and distribution of the Products.

Effect of Waiver: The failure of Anjix Healthcare to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect.

 

Jurisdiction. This Website originates from Lucknow, Uttar Pradesh. This Agreement will be governed by the laws of the State of [Law State Name] without regard to its conflict of law principles to the contrary. Neither you nor Anjix Healthcare will commence or prosecute any suit, proceeding or claim to enforce the provisions of this Agreement, to recover damages for breach of or default of this Agreement, or otherwise arising under or by reason of this Agreement, other than in courts located in State of Uttar Pradesh. By using this Website or ordering Products, you consent to the jurisdiction and venue of such courts in connection with any action, suit, proceeding or claim arising under or by reason of this Agreement. You hereby waive any right to trial by jury arising out of this Agreement and any related documents.

Statute of Limitation: You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Website or Products or this Agreement must be filed within one (1) year after such claim or cause of action arose .

Termination: Anjix Healthcare reserves the right to terminate your access to the Website if it reasonably believes, in its sole discretion, that you have breached any of the terms and conditions of this Agreement. Following termination, you will not be permitted to use the Website and Anjix Healthcare may, in its sole discretion and without advance notice to you, cancel any outstanding orders for Products. • In case of Cash back offers extended by banks during the aforesaid period, user will, in addition to this Terms of Use Policy, be governed by the Terms and Conditions of the said bank/card issuer;
• Anjix Healthcare may, at any time due to various reasons, including but not limited to technical errors, unavailability of stocks or for any other reasons whatsoever, cancel the orders placed by Users. Anjix Healthcare decision of cancellation of order shall be final and Anjix Healthcare shall not be liable for such cancellation(s) whatsoever;
• Expected delivery time as mentioned on website may vary than the usual time of delivery;
• Anjix Healthcare strives to provide accurate products, services and pricing information, typographical and other errors may occur. If the order is cancelled after credit card has been charged, the said amount will be reversed back in User’s credit card account;
• Cancellation by the User: In case of requests for order cancellations, Anjix Healthcare at its sole discretion, reserves the right to accept or reject requests for order cancellations for any reason whatsoever, without assigning any reason to the User. As part of usual business practice, if Anjix Healthcare receives a cancellation notice and the order has not been processed/ approved by Anjix Healthcare shall cancel the order and refund the entire amount to User within a reasonable period of time;
• Anjix Healthcare will not be able to cancel orders that have already been processed, it is pertinent to note that the Anjix Healthcare has the full right to decide whether an order has been processed or not. User hereby agree and undertakes that the decision taken by the Anjix Healthcare is acceptable to User and User shall not create any dispute on the decision taken by Anjix Healthcare on cancellation;
• Anjix Healthcare Reserve the right, at its sole discretion, to change, modify, add or remove portions of this document, at any time without any prior written notice to user;
• Limitation of Liability: Under no circumstances Anjix Healthcare liability shall exceed giving the User a replacement of the same product/ alternate product of the same value;
• These terms and conditions are subject to Indian laws and any dispute shall be subject to jurisdiction of the courts in Lucknow, Uttar Pradesh (India) only.
